Terms and Conditions


Contents and Effectiveness of Agreement.  This Customer Agreement (the "Agreement") governs your credit account with us (the "Acc ount"). It consists of this document and other documents that this document may refer to as part of this Agreement. This Agreement becomes effective the earlier of (i) when you apply for the Account and agree to its terms by either signing the application or indicating agreement, if applying online, or (ii) when you begin using your Account. Notwithstanding anything to the contrary herein, our obligations shall not be effective until we approve your application for an Account. Finning reserves the right to modify, at all times and upon notice to you, the terms of this Agreement and conditions of the credit granted to you.

Parties to Agreement. "Finning" refers to Finning International Inc. and any Canadian or other such subsidiary, affiliated entity or division of Finning International Inc. which may appear on a statement of account ("Statement"). In this Agreement, the words "Customer", "you", "your", and "yours" mean each legal entity, partnership, and/or individual who applies for and is granted the Account, as well as any person permitted to use the Account. The words "we", "us", and "our" mean Finning or any subsequent holder of the Account or any balances arising under the Account.

Types of Transactions. You may use your Account to purchase goods and services from Finning including, without limitation, rental services (collectively "Purchases").

Credit Limit.  Your Account has a credit limit ("Credit Limit"), which will be provided to you by Finning from time to time. You will not allow your Account Balance to exceed the amount of the Credit Limit. We may change your Credit Limit, temporarily or permanently suspend, block, and/or freeze your available credit at any time for any or no reason and in our sole discretion, all without notice. We may, but are not required to, approve transactions that exceed your available Credit Limit on a temporary basis. You will remain responsible for all such increases, if granted. In the event that Finning does approve such discretionary overlimit transactions, Finning reserves the right to charge an overlimit fee of $50 CAD for each transaction in excess of your Credit Limit.

Provision of Financial and Other Documents and Information. You represent and warrant that the information provided in connection with the establishment of your Account is true and correct. It is a condition of this Account that you agree to provide financial and other documentation as Finning may request to assess your financial stability and ability to make payments on your Account as required by this Agreement and/or any other agreement you may enter into with Finning from time to time. You hereby give Finning consent to obtain credit, financial and related personal or business information (including credit information reports) about you from time to time from any credit bureau, any credit reporting agency, and from other parties with whom you have (or had) a financial or credit relationship with (collectively, the information obtained from the above parties and from you in connection with the establishment of your Account is referred to as the "Inf ormation"). You further consent to the disclosure of the Information by such parties to Finning and by Finning to such parties and this consent shall remain effective for so long as you have your Account with us. Finning may share your Information with third parties, including, without limitation, credit bureaus, financial institutions, Caterpillar Inc. and its affiliates, and others for the purposes of assisting you in obtaining goods and/or services from Finning, collection of outstanding debts, reporting to credit bureaus, and otherwise as Finning may reasonably require for its business purposes. You also agree the Information may be used to assist with providing other products and services you may request from Finning from time to time.

Invoice Billing. Finning will generally bill you by way of invoice billing for Purchases (each such invoice, an "Invoice Bill").. Access to any available credit amounts under this Agreement shall be limited solely to the deferred payments, if any, allowed under Invoice Bills. In the absence of any available Credit Limit to which Invoice Bills may be applied or as Finning may require in its sole discretion, Finning reserves the right to require cash payment in advance of any additional Purchases.

Terms of Payment. Except to the extent that Finning agrees otherwise in writing, you shall pay all charges within 30 days of the date the invoice is issued to you, provided you have prior credit approval by Finning (the "Due Date"). Overdue payments shall bear interest at a rate of 18% per annum. Recovery by Finning of interest shall not operate as a waiver of any of Finning's remedies on default as provided elsewhere in this Agreement.

The total amount owed by you must be paid regardless of any dispute or controversy relating to the Agreement or any other contract or transaction. You renounce your right to set off what is due to Finning with any amount that Finning owes or may owe to you or your subsidiaries or divisions.

Finning shall be entitled to set off any credit, reimbursement, damages or any other amount owed to you or your subsidiaries or divisions with any amount due to Finning by you or your subsidiaries or divisions, or which, in the opinion of Finning, may reasonably become due, whether such amounts are due, payable or settled or may become due, payable or settled in the future.

Both you and we intend to conform strictly to applicable criminal rate of interest laws as presently in effect. Accordingly, both parties agree that, notwithstanding anything to the contrary herein, the sum of all consideration that constitutes interest under applicable law which is contracted for, charged, or received under this Agreement shall, under no circumstance, exceed the maximum lawful rate of interest permitted by applicable law. Any excess interest shall be credited to you or, if your Account shall have been paid in full, refunded to you by us.

OTHER FEES AND CHARGES

Types of "Other Fees and Charges". We will charge and you agree to pay the following fees and other charges:

Returned Payment Fee. A Returned Payment Fee in the amount of $50.00 CAD will be charged to your Account for any payment on your Account, either by cheque or other means, that is returned to us unpaid and/or dishonored.

Report Charges. We may make available, upon request or otherwise, to you a variety of optional reports and statements from time to time. The types of reports and statements that are available and the applicable charges for each are available upon request.

Collections Costs. We will add to your account any costs we may incur in collecting amounts owing to your Account, including legal costs on a solicitor and own client basis.

Security-related Fees. We will add to your Account any charges and costs (including legal fees on a solicitor and own client basis) associated with inquiring into compliance with, registering, perfecting, renewing, protecting, and/or realizing on any security granted by this Agreement or any other agreement between you and Finning including, without limitation, processing and administration of legal actions and enforcements, requests by you or third parties, registration, discharge, and/or renewal of registrations, recovery of assets, sale of assets, and removal of goods which are installed or otherwise become affixed to your property.

CUSTOMER LIABILITY

"Liable Parties".  The legal entity, individual, or partnership whose name appears on your Statement is liable on the Account. By using your Account or making a payment on the Account, you agree that our records are accurate with regard to the information provided in any Statement or correspondence from us to you. In the event that there are more than one entity shown on your Statement, those entities shall be jointly and severally liable on the Account.

Liability for Subsidiaries and Affiliated Entities. Customers with affiliated or subsidiary entities are jointly and severally liable for all transactions conducted by those entities using the Account. If you do not wish to be liable for these transactions, then an Account must be established for the subsidiary or affiliated entity.

Promise to Pay.  You promise to pay us by the applicable Due Date for all Invoice Billing and otherwise on demand for all transactions on your Account for which you are liable under this Agreement or by law. You may pay all of the amounts owing on your Account at any time. In the event of any Default under this or any other agreement entered into by you and Finning, Finning reserves the right to suspend performing any services and/or provision of goods/equipment until such Default is cured to Finning's satisfaction.

Place of Payment.  Except as may be otherwise agreed to by Finning in writing, you will send the required payments to the payment address shown on your Statement. You may not combine any payment on the Account with any other payment due to any other Finning or non- Finning entity. In the event you combine a payment on the Account with any payment to another entity, you authorize such entity to forward such payment to us.

Allocation of Payments.  We apply payments in the following order: (i)to any applicable Other Fees and Charges, (ii) to interest, against any owing principal for amounts which have not been paid by the applicable Due Date, and (iii) lastly against amounts which are owing but have not yet reached their applicable Due Date. Notwithstanding the foregoing, but subject to applicable law, you agree that we may apply payments in any order, at our discretion, and that we may change the order in which we apply payments on your Account without notice to you. You cannot require an alternative allocation of payments.

Form of Payment. All payments are due and payable in the currency shown in the applicable invoice. We are not required to accept any payment that we deem to require special handling including cash payments.

Pre-authorized Debits. You authorize us to debit your designated account at the financial institution you specified in the applicable pre- authorized debit form ("PAD Agreement") for payments to the Account. Your authorization to Finning also constitutes your authorization to the financial institution you specified. The debit charged to your account is considered to be a pre-authorized debit. You are responsible for letting us know if there are any changes to the account information for this pre-authorized debit. Changes must be submitted in writing. You will provide us with another authorization if this is required. The authorization applies only to the method of payment and does not have any bearing on your obligations under the Agreement. This authorization will continue until such time as you close your Account or you provide us with information for a different account from which to take the pre-authorized debit.

Payments Marked "Paid In Full". We may accept letters, cheques, or other types of payment showing "payment in full" or using other language to indicate satisfaction of your debt, without waiving any of our rights to receive full payment under this Agreement. Satisfaction of your debt for less than the full amount due requires a written agreement signed by one of our authorized representatives.

Sanctioned Persons. (a) Neither Customer nor any of Customer's respective directors, officers or employees, subsidiaries, nor any guarantor of Customer's Account, or any beneficial owner of the Customer or any guarantor, or any person holding a controlling interest in the Customer or a guarantor (each, a "Relevant Person"), or (b) to your knowledge, having made reasonable enquiries, any agent of yours that will act in any capacity in connection with or benefit from the Account, is currently or at any time a Sanctioned Person.

  •  "Sanctioned Person " means, at any time, (i) a person listed in any sanctions-related list of designated persons maintained by the
  •  No merchandise or proceeds received under the terms of the Account will be used by the Customer or any guarantor of the Account
    (e) trade embargoes.

Prohibition on Exports and Compliance with Trade Control Laws. Purchases are subject to the Trade Control Laws of Canada, the United States of America, the European Union, the United Kingdom and other applicable jurisdictions and, in furtherance of those laws, Finning has trade compliance programs and policies that may go beyond statutory or regulatory requirements. The Customer shall comply with all applicable Trade Control Laws. Without limiting the generality of the foregoing, any goods sold by Finning may not be resold, transferred, or otherwise disposed of, to any country, person or entity in contravention of applicable Trade Control Laws. No direction from Finning with respect to Trade Control Laws will relieve the Customer from its obligations to comply with applicable Trade Control Laws. Notwithstanding anything to the contrary in this Agreement, Finning reserves the right to delay delivery, cancel or modify orders without liability to comply with Trade Control Laws. Trade Control Laws means export control and international economic sanctions laws and regulations, including, without limitation: a) Canada's Export and Import Permits Act, the Special Economic Measures Act, the United Nations Act, the Justice for Victims of Corrupt Foreign Officials Act (Sergei Magnitsky Law), Part II.1 of the Criminal Code, and any regulations or orders adopted thereunder; b) The United States of America's Export Administration Regulations, the International Traffic in Arms Regulations, and sanctions administered by the Treasury Department's Office of Foreign Assets Control; c) Similar applicable laws, regulations or directives of the United Kingdom and the European Union; and d) Sanctions adopted by the United Nations Security Council.

Default. Your Account is in " Default" (i) if you fail to comply with any of the terms of this Agreement or any other agreement between any of the Liable Parties; (ii) in the event of your bankruptcy, insolvency, fraud, or misrepresentation; or (iii) if we reasonably believe that you will be unwilling or unable to pay debts you owe to anyone. If you are in Default, (i) we may close your Account without notice and (ii) you must immediately pay your unpaid Account Balance. To the extent not prohibited by law, you agree to pay all damages, expenses and costs arising from or incurred by Finning as a result of Default or otherwise enforcing our rights under this Agreement, including, without limitation, our collection costs, legal fees on a solicitor and own client basis, and court costs.

Closing Your Account.  You may close your Account to further charges by notifying us in writing. We may close your Account or suspend your credit privileges at any time without prior notice. In the event your Account is closed, you continue to remain liable for all charges and any fees then owing or any made in the future.

Amendment of this Agreement.  We may amend this Agreement by changing, adding, or deleting any term, condition, service, or feature (" New Term") of your Account or of this Agreement at any time, without notice. Unless we state otherwise, any New Term will apply to your Account's unpaid Account Balance and to new activity on your Account. If the amendment includes any change to the rate or rates of periodic interest that applies to your existing Account Balance, we will obtain your consent (or your consent will be deemed to have been given) before that New Term becomes effective in any one or more of the following ways: (a) by your usage of the Account after we giveyou notice of the amendment; or (b) by your affirmative agreement which may be obtained verbally, in writing, or electronically; or (c) if you do not close your Account prior to the effective date of the amendment. Any other term in the amendment will become effective without your consent.

Telephone Monitoring. We may listen to and record telephone calls between any of your representatives and us or our agents for the purpose of monitoring and improving the quality of service you receive and for any other reasons for which we provide you notice at the time of the event and receive your consent.

Electronic Disclosure. You agree that any notices and disclosures related to your Account can be delivered to you in printed form or by electronic means if you provide an electronic mail address to us when applying for this Account or at a later date. Until we receive notice of a new electronic mail address, we may continue to send such notices and disclosures to the electronic mail address you most recently provided to us.

Transaction Messaging and Messaging for Collections.  You agree that messages regarding active transactions you have with Finning may be delivered by telephone call (whether prerecorded voice or autodialed or not) or sent via text message or SMS (whether autodialed/ texted or not), or message sent through social media or similar platform, to any landline or mobile phone number submitted in connection with the credit application process or subsequently as a business contact number for you. You agree to update your business contact information (including any mobile number submitted as a contact) with Finning, if it changes during the duration of this transaction. You understand and agree that collections messaging may occur, even if you have registered certain preferences regarding a mobile number that is also a business contact number.

Waiver and Enforceability.  Except if we change the Agreement in writing, if we waive or do not exercise, or delay in exercising, any of our rights under the Agreement or any other agreement, this will not constitute a permanent waiver of our rights and does not prevent us from exercising these rights in the future. We may delay enforcing our rights under the Agreement and may accept late payments or partial payments without losing any rights that we have under the Agreement or by law, including the right to recover in full all amounts that you owe us on the Account. If we waive a Default, it does not mean we are waiving the applicable term of the Agreement. If any terms of this Agreement are found to be unenforceable, all other provisions will remain in full force.

Data and Privacy. Any of information supplied or obtained in connection with this Agreement that relates to an identified or identifiable individual may sometimes be referred to herein as "Personal Information". You agree that Finning may collect and use your credit, financial and related Personal Information from time to time for the purposes of providing products and services you have requested from Finning. Finning's Privacy Policy ("Privacy Policy ") describes how Finning collects, processes, and shares Personal Information and rights that individuals might have under applicable data privacy laws. Finning also publishes its Data Governance Statement covering other matters relating to equipment or data collected by Finning, including geolocation and operational data relating to equipment or owners or operators of the equipment from which telematic data is received. By entering into this Agreement, you agree: (1) that you have received and reviewed the Privacy Policy online at https://www.finning.com/en_CA/policies/privacy-policy.html and the Data Governance Statement online at https://www.finning.com/en_CA/policies/data-governance.html; (2) to the collection, use, disclosure, and sharing of Personal Information as set forth in the Privacy Policy; and (3) that you will provide any individuals access to or a copy of the Data Governance Statement and the Privacy Policy before providing such individuals' information to Finning or its affiliates. You (or individuals representing you) may also authorize and/or consent to the collection, use, disclosure, and sharing of information and/or Personal Information in other agreements or documents with Finning, its affiliates, or Caterpillar, and nothing contained herein shall interfere with or affect such agreements or documents in any way.

Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the province where the goods and/or services comprising the Purchases are predominantly provided, which shall be deemed to be the proper law of this Agreement notwithstanding any rules pertaining to the conflict of laws which would result in the application of any other law. The parties hereby irrevocably attorn to the jurisdiction of the Courts of that province with respect to any dispute that may arise under the terms of this Agreement.

Limitation of Liability. PLEASE READ THIS PROVISION OF THE AGREEMENT CAREFULLY. IT PROVIDES LIMITS TO THE PARTIES' LIABILITY UNDER THIS AGREEMENT.

You agree that in no event shall Finning, its affiliates, and/or subsidiaries be liable under this Agreement to you or any third party for any

consequential, indirect, incidental, exemplary, special, or punitive damages whatsoever, including any damages for business interruption, loss of use, revenue or profit, cost of capital, loss of business opportunity, loss of goodwill, whether arising out of breach of contract, tort (including the negligence of Finning or others), any other theory of liability, or otherwise, regardless of whether such damages were foreseeable and whether or not Finning was advised of the possibility of such damages.

Customer's Acceptance of Goods. Subject to any other agreement between you and Finning in writing, you have the right to inspect any goods and services provided by Finning upon receipt or performance and such goods and services will be deemed to be in compliance with the Agreement and any subsequent agreement between the parties and accepted by the Customer, unless a written notice of deficiency is received by Finning within twenty-four (24) hours of delivery or completion as the case may be. All notices to that effect must include detailed information and contain supporting documentation which may include the Customer's and carrier's written acknowledgements as to the loss, shortage of inventory, or damage. If a notice is not received by Finning in compliance with this paragraph, the goods and services shall be deemed to have been received by you in accordance with the applicable agreement.

Warranty.  Finning makes no guaranty whatsoever regarding the Purchases and makes no representation, warranty or condition, express or implied (whether oral, written, statutory, or arising by previous course of dealing or usage of trade), including warranties of merchantability and fitness for particular purposes, being agreed, without limiting the generality of the foregoing, that any Purchases shall have only the applicable manufacturer and/or Finning services warranty that is expressly provided for in the applicable agreement, if any. If the Customer commits an act of Default, any express warranty of Finning shall be immediately cancelled and deemed null and void.

Limitation of Liability. Finning's liability, including for Finning's negligence, shall in no event exceed the purchase price of the particular Purchase with respect to which claim is made. Notwithstanding the foregoing, The remedies provided in this section shall be Customer's exclusive remedies for any claims for damages, including breach of warranty. Finning shall not be liable, whether based in contract, warranty, indemnity, tort (including negligence), strict liability, or alternative tort remedies or any other theory of law or equity, for any indirect, special, incidental, punitive, exemplary or consequential damages including, but not limited to, damage to associated equipment, loss of profits or revenue, loss of production, loss of use of Customer's property, plant, equipment or system downtime costs or claims of Customer's customers. The remedies provided in the applicable express warranty, if any, is exclusive and Finning's total aggregate liability to Customer hereunder shall not exceed half of the purchase price for a particular Purchase from which a claim arises.

Security Interest. Notwithstanding that the subject matter of any Purchases may be installed or otherwise incorporated into equipment or facilities and risk of loss may have transferred to the Customer, title shall pass to the Customer only upon payment in full being received by Finning. Customer hereby grants Finning a security interest in all goods, equipment, and other assets of any kind which have been purchased from Finning to secure repayment of all amounts associated with Purchases. Customer shall do everything necessary or convenient to perfect and maintain such security interests and liens including the prompt execution and delivery of financing statements as requested by Finning and, if applicable, consents to the registration of a Garage-Keepers' Lien, Repairer's Lien, Commercial Lien, or similar lien. Finning may, in its sole discretion, make registrations or take other action to protect its security interest. To the extent permitted by law, Customer hereby waives all rights to dispute the validity of such security interests and liens and receive notice of registration or copies of financing statements, financing change statements, verification statements, or any other notices or documentation associated with the foregoing. When our Account has been paid in full and closed by Finning, where permitted, you agree to pay us a discharge service fee for the preparation and execution of a discharge of any registrations (in addition to any government personal property security discharge fees applicable at that time).

Corporate Authorization. If you are a corporation, limited partnership, or any other body corporate, you represent and agree that: a) you are duly organized, validly existing and in good standing under the laws of your governing jurisdiction; b) you have full power, authority, capacity and legal right to own your interest in any property which is the subject matter of a security interest and are duly qualified to carry on your business and are in good standing in each jurisdiction where qualification is necessary for your business and you have not commenced any dissolution or reorganization proceedings; c) you have full power, authority, capacity and legal right to enter into the Agreement and to do all acts and execute and deliver all other documents as are required to be done, observed or performed by you under the Agreement; d) you have taken all necessary action and proceedings to authorize the execution, delivery and performance of the Agreement and to observe and perform the provisions of each; and e) neither the execution and delivery of the Agreement, nor compliance with the terms and conditions of any of them has resulted or will result in a violation of the constating documents governing you, including any unanimous shareholders' agreement, partnership agreement, or any resolution passed by your board of directors or shareholders, has resulted or will result in a breach of or constitute a default under applicable laws or any agreement.

Authority of Customer's representatives.  Customer declares, and Finning will be entitled to assume, at all times, that Purchases, the orders given and documents or receipts signed by employees or representatives of the Customer in the ordinary course of business are validly authorized by the Customer and that, as a result, the Customer will be held responsible unless Finning is given advance written notice.

Confidentiality.  You shall keep strictly confidential all information associated with this Agreement and other agreements you may enter into with Finning from time to time. Notwithstanding the foregoing, you may disclose information: a) with the prior written consent of Finning; and b) information that is, or subsequently becomes, publicly available other than through a breach of this obligation or that information that you already possessed before entering into this Agreement and that is not subject to a confidentiality agreement or obligation.

Entire Agreement and Conflicts. The Agreement is the entire agreement between you and us regarding your Account. In the event of any conflicting or ambiguous term between this Agreement and the term of any other subsequent agreement signed by the Parties hereto, the term of that other subsequent agreement shall govern except if such term is not explicitly agreed to by Finning in writing and forms part of a standard form document issued by the customer to facilitate a Purchase or Rental Transaction.

Notice.  Any notice sent according to the terms herein by Finning will be deemed received when such notice is sent to the address, email or fax number indicated in the present credit application or any place of business of the Customer. Any notice to be given by the Customer to Finning shall be in writing and made by email to the following email address: AccountsReceivableCanada@finning.com

Saskatchewan.  The Customer, if a corporation, hereby agrees that the Limitation of Civil Rights Act, as amended from time to time, shall have no application to the rights, powers or remedies of Finning hereunder, and hereby waives any rights the Customer may have thereunder.

Execution. This Agreement may be executed by electronic and/or click through signatures and such electronic signatures shall be deemed to be valid and original.
